Corporate Resolution

RESOLVED that The International Association of Round Dance Teachers, Inc. will create an independent 501c3 non-profit corporation which will be called ROUNDALAB: A Foundation for the Promotion of Round Dancing. The primary purposes of ROUNDALAB shall be to promote round dancing as an activity which promotes healthy living through low-impact exercise, social engagement, and mental stimulation. Additionally, ROUNDALAB will use grants and scholarships given to individuals and groups to further the purpose of ROUNDALAB. Furthermore, ROUNDALAB will be organized and operated exclusively for the purposes set forth within the meeting of IRS Code 501(c)(3).

The Board of Directors and Officers of The International Association of Round Dance Teachers, Inc., will serve as the Board of Directors and Officers of ROUNDALAB.

Authority to conduct business on behalf of ROUNDALAB will be guided by the Bylaws of ROUNDALAB and the Bylaws and Operating Procedures of The International Association of Round Dance Teachers, Inc.

The Corporate Agent for ROUNDALAB DANCE will be current Executive Administrator, Alfred Hipkins.
